𝗣𝗲𝗻𝗮𝗹𝘁𝘆 𝗣𝗿𝗼𝘃𝗶𝘀𝗶𝗼𝗻 (𝗦𝗲𝗰𝘁𝗶𝗼𝗻 𝟭𝟳𝟮): Imposes penalties of ₹50,000 for default and ₹500 per day for continued non-compliance, subject to a maximum of ₹3,00,000 for the company and ₹1,00,000 for each officer in default.

𝗗𝗲𝘁𝗮𝗶𝗹𝘀 𝗼𝗳 𝘁𝗵𝗲 𝗠𝗶𝘀𝘁𝗮𝗸𝗲 𝟭) 𝗖𝗼𝗺𝗽𝗮𝗻𝘆'𝘀 𝗙𝗮𝗶𝗹𝘂𝗿𝗲: The company, with a paid-up share capital of ₹19.89 lakh and turnover of ₹785.55 crore (as on 31.03.2022), failed to appoint a woman director as required. The previous woman director, Ms. Els Raynaers, resigned on February 19, 2020, and the company delayed appointing a replacement.

𝟮) 𝗗𝗲𝗳𝗮𝘂𝗹𝘁 𝗣𝗲𝗿𝗶𝗼𝗱: The period of non-compliance was calculated from July 1, 2022, to March 29, 2023, totaling 271 days. The company ultimately appointed Ms. Ahana Gautam as a woman director on July 10, 2023. 𝟯) 𝗗𝗲𝗳𝗲𝗻𝘀𝗲 𝗯𝘆 𝘁𝗵𝗲 𝗖𝗼𝗺𝗽𝗮𝗻𝘆: The company cited delays due to the COVID-19 pandemic and the joint venture's (Godrej Agrovet Ltd. and Tyson India Holding Ltd.) requirement to meet professional criteria for director appointments.
